Pricing and Payment Terms

Seller agrees to provide Retailer with (insert product pricing) for all products sold to Retailer. Payment terms are (insert payment term, e.g., net 30 days or 2%/10, net 30). The payment due date is (insert payment due date). Interest shall be charged on any unpaid balance at the rate of (insert interest rate) percent per month. In case of returns, interest shall cease to accrue as of the date when Seller issues a return authorization.

Shipping Terms

The parties agree that this Agreement may be modified or updated, with notice provided to Retailer under the terms of this Agreement. The parties agree that additional terms and conditions may apply to specific products or sale channels, as outlined by Seller in a separate agreement.

This Agreement constitutes the entire understanding between Seller and Retailer regarding the sale of products and supersedes any prior agreements or understandings. Both parties agree to abide by the terms outlined in this Agreement, and further agree that no modifications may be made without written consent from both parties.

By signing this Agreement, [Seller.FirstName][Seller.LastName] (Seller) represents that they are legally authorized to bind [Retailer.FirstName][Retailer.LastName] (Retailer) and agrees to be bound by all the terms and conditions outlined in this document.
