Background

According to this EULA Agreement, the Vendor intends to license their computer software application to the Licensee. The Licensee, as mentioned in the Agreement, wishes to purchase the license of the Software under the specified terms and conditions.

In consideration of the provisions outlined in this Agreement, both parties agree as follows:

License

  • In this Agreement, the Vendor grants the Licensee a non-transferable and non-exclusive license to use the Software, (Software Name). The Software includes all executable programs and accompanying electronic, online, and printed documentation.

  • The Vendor retains all rights associated with the Software's title, intellectual property, and distribution. This Agreement only grants the Licensee the right to use the license and does not transfer ownership of the Software.

  • The Software may only be loaded on a single computer, and the Licensee is allowed to make a single backup copy. The Licensee is not permitted to transfer their obligations and rights granted by this Agreement to any other person or party.

  • The license provided under this Agreement prohibits decompiling, reverse-engineering, or modifying the Software using current or future technologies. Failure to comply with the terms in this section will be considered a breach of the Agreement.

License Fee

The Licensee agrees to pay a license fee of $(amount), which includes the total fee agreed upon in this Agreement.

Limitation of Liability

The Vendor provides the Software "as is," and the Licensee accepts it as such. The Vendor is not responsible for any special, general, or consequential damages, including but not limited to data loss, revenue loss, and profit loss. The Licensee assumes responsibility for any losses resulting from the failure or use of the Software.

Additionally, the Vendor does not guarantee that the Software will be error-free or uninterrupted. The Software may have flaws and bugs within a certain level of tolerance. The Vendor also does not warrant the Software's fitness for specific requirements of the Licensee.

Representations and Warranties

The Vendor is the copyright holder of the Software and represents and warrants that granting the license does not violate any applicable statutes, agreements, or copyrights.

Acceptance

The Licensee must accept all the conditions, terms, and obligations during the execution and implementation of the Agreement.

User Support

The Agreement does not provide maintenance or user support.

Term

The term of this Agreement begins upon acceptance.

Termination

This Agreement will be terminated if the Licensee fails to comply with any of the provisions outlined. Upon termination, the Licensee must either return the Software to the Vendor or destroy it as instructed.

Governing Law

The parties mentioned in the Agreement submit to the court in the State of (State) for the enforcement of the Agreement or any conflicts arising from it. The Agreement will be construed and enforced according to the laws of the mentioned State.

Miscellaneous

  • The Agreement cannot be modified unless both the Licensee and Vendor agree and sign a written amendment.

  • This Agreement does not establish a relationship between the Licensee and the Vendor.

  • Headings inserted in this document are for convenience only and do not affect the interpretation of any provisions in the Agreement.

  • If any provision or condition mentioned in this Agreement is held invalid or void by the court, it will be removed as soon as possible. However, invalid provisions will not affect other enforceable and reasonable provisions of this Agreement.

  • All terms and conditions specified in this Agreement also bind the Vendor's assigns and successors.
